1. In Annex II – Framework Contract §1.10 Exploitation of Results, the tenderer hereby states that our pre-existing software is our Intellectual Property. The offering is for commercially available “off-the-shelf” software.

Of course. To be clear the pre-existing rights shall never be acquired by ESMA. In this regard, Article I.10.2 and I.10.3 of the model contract shall be changed as follows: I.10.2 Licence or transfer of pre-existing rights All pre-existing rights incorporated in the results, if any, are licensed to the Contracting Authority as set out in Article II.13.2. I.10.3 Provision of list of pre-existing rights and documentary evidence NOT APPLICABLE
