4. II.3.4 Please consider altering cl. II.3.4. as follows: “The Contractor shall indemnify and hold ESMA harmless for all damages and costs incurred due to any claim brought against ESMA by a third party as a result of damage caused by the Contractor during the performance of the FWC, but only to an amount not exceeding the total amount of the relevant order form or specific contract. The Contractor shall provide compensation in the event of any action, claim or proceeding brought against ESMA by a third party as a result of damage caused by the Contractor during the performance of the FWC, but only to an amount not exceeding the total amount of the relevant order form or specific contract. In the event of any action brought by a third party against ESMA in connection with the performance of the FWC including any alleged breach of intellectual property rights, the Contractor shall assist ESMA. Such expenditure incurred by the Contractor may be borne by ESMA. 5.II.7.1 Please consider adding exclusion to the general subcontractors rule for Miratech affiliates and physical persons employed under civil contract, by updating the wording in cl.II.7.1. as follows: “The Contractor shall not subcontract without prior written authorisation from ESMA nor cause the FWC to be de facto performed by third parties, unless such subcontractors or third parties are Contractor’s affiliates or natural persons employed by the Contractor or its affiliate under a civil contract”.
